Option ContractVALUE: Sixty Nine Thousand Nine Hundred Dollars (US$ 69,900.00) The undersigned, Andrea Madriz Segura, a Costa Rican citizen, with Costa Rican Identification Number one- one two zero seven- zero one four eight, resident of San Isidro de Pérez Zeledón, Pedregoso neighborhood, two hundred meters east and forty meters north from soccer field, Republic of Costa Rica, acting as President of The Fathers Investments, Sociedad Anonima., a Costa Rican corporation known throughout as “Company”, with corporate identification number three- one zero one- four six four six five five, with domicile address in San Isidro de Pérez Zeledón, province of San José, La Palma neighborhood, two hundred meters south from catholic church, Republic of Costa Rica, corporation which owns a tract of land marketed under San Buenas Golf Resort, known throughout as “Project”, PROMISES TO UNCONDITIONALLY DELIVER 5,000 square meters (approximately 1.25 acres) in exchange for SIXTY-NINE THOUSAND NINE HUNDRED US DOLLARS ($69,900.oo) to _____________________________________ with passport number,_______________________ from country of ___________________________ and with address of __________________________________________________________________________ Conditions: Whereas, the Company has purchased a farm located in the Republic of Costa Rica, in the first district (Cortés), of the fifth county (Osa), of the province of Puntarenas, forma properly registered in the Costa Rican National Registry under the inscription number One Hundred Forty Seven Thousand Six Hundred Sixty Five- Zero Zero Zero, farm which has a measure of One Million Three Hundred Thirty Eight Thousand Six Hundred One Square Meters with Ninety Square Decimeter (approximately 490 acres), and property described by the Survey Number P- one zero two one four seven zero- two zero zero five, known throughout as “Farm” or “Property”. It is the intention of the Company to sell individual tracts of land, known throughout as “lots” from the farm. Whereas, within said contract, the Company has the right to sell lots located on the property. Persons or corporations, known throughout as “Buyers”, who purchase lots will be granted fully cleared title by June first, two thousand and eight. The purchase is guaranteed by both the Company and the creditor as stated in the clause below from the purchase contract: Buyers of lots will be required to wire or provide full payment in exchange for their lot upon signing this document. By December thirty-first, two thousand and seven, purchaser will be given the right to choose his/her lot based on a master plan provided by the Company. Buyers will have the right to choose their lot based on the order in which they purchased their lot(s). It is understood that the Company will provide road access, driveway, electricity and water to the property line. Buyers of the first 20 lots will have “first rights of refusal” to purchase additional lots as they become available. That is they will be informed when the final master plan is completed and additional lots are available for purchase. Buyers of the first 20 lots will have the option to purchase these additional lots for market price as determined by Paradise Brokers. Buyers will also be granted a lifetime membership to the Golf Course which includes discounted golf greens fees for life, subject to a price schedule determined by Paradise Brokers. Lifetime memberships are transferable with the property. Until the title is transferred, the option will be secured by one hectare (approximately 2.5 acres of land). This agreement shall be accomplished and executed and also interpreted according to the Laws of Costa Rica. All the controversies, differences, claims and disputes related, or derived from this Agreement, its execution, liquidation, termination and/or interpretation, will be resolved through an Arbitral Procedure, to which both parties commit to submit unconditionally.
