AGREEMENT FOR SALE OF PROPERTY AND PAYMENT OF COMMISSION
BY AND BETWEEN:
RETIREMENT RELOCATION S.A. with legal domicile in San Jose, Republic of Costa Rica, corporate identification number three-one zero one-four one nine three seven six, represented by JOHN ROBERT SHANNON, seventy four years of age, with only one last name because of his nationality which is Canadian, married, businessman, of Heredia, with passport of his country number YM two five three nine five and with Costa Rican identification number one two five- one eight nine three five three- zero zero one two zero seven with sufficient powers for this act, herein after referred to as the REALTOR and

, herein after referred to as the SELLER, have agreed the following contract for the sale of property and payment of commission, that will be governed by the laws of the Republic of Costa Rica in general and the following clauses in particular:
FIRST: The Seller is the owner of the property registered in
the Public Registry, Property Section,
Province of
, under the “folio real” number
and that is
described as follows:
(location of property, area, description of what is being
sold –house, hotel-just the property, etc- any other item
included –furniture, livestock, etc.)
SECOND: The Seller authorizes the Realtor to offer the
above-mentioned property to potential buyers at a price of
, currency of the United States of
America.
THIRD: The Seller will pay the Realtor the equivalent of six percent of the sales price of the above mentioned property if it is sold to one of its clients or referrals. This commission will be paid for at the closing and the Seller authorizes the Realtor to instruct the Buyer to retain from the sales price the percentage indicated above and to pay it directly to the Realtor.
FORTH: In the case that a deposit is given by the potential buyers and the sale does not close, the Seller will pay the Realtor fifty percent of the deposited amount.
FIFTH: The term of this contract is until December 31, 2011, however If after said date any of the potential buyers that the Realtor has presented to the Seller buys the property the Seller will pay the Realtor the full amount of the commission.
SIXTH: The parties undertake to execute and deliver such documents and do such things as may be necessary or advisable to give full effect to this Agreement.
SEVENTH: The SELLER guarantees that up to date it has not celebrated nor does there exists any express or implicit contract that affects the property described hereinabove and has no knowledge of any legal action of any kind that may affect it. The SELLER declares that it has the authority to sign this contract and that it is not in a state of insolvency or bankruptcy.
